As I understood it, The seat held by Director Craley and the seat held by Director Malerich each had one year remaining of their term.\u00a0 Therefore they would have been, and will be, up for election in 2009.\u00a0<\/span><\/o:p><\/span><\/p>\n

Since they are both up in 2009 who sits on which seat is irrelevant.\u00a0 I forget the actual vote count but I know Mr. Schondel received the most votes and hence he will fill Mr. Bleichs seat which is a three year seat and will not be up for election until 2011.<\/span><\/o:p><\/span> <\/o:p><\/span><\/p>\n

As you know, past Legacy boards were plagued by uncontrolled interim director appointments, and a recent measure was enacted into the Bylaws to put an end to this practice.<\/o:p><\/span><\/p>\n

<\/o:p><\/span><\/p>\n

Section 2.3 Vacancies. In the event of dismissal or resignation from the Board,
\nVolunteers for the vacated seat will be asked to apply. An interim volunteer to serve until the
\nnext regularly scheduled election will be selected by a vote of the Board from those interested.
\nThis vote shall be by secret ballot.<\/span><\/p>\n

Should the vacancy occur before the last year of the vacated seats term, the vacated seat will
\nbe filled during the next regularly scheduled election. During that election the seats that are
\nnormally up for election will be filled first by candidate(s) with the most votes. The candidate
\nwith the next highest number of votes, after the aforementioned candidates filling the normal
\nterm seats, will fill the remainder of the term of the vacated seat. The person appointed by the
\nboard is welcome to submit their candidacy for the general election if they so choose.<\/span><\/p>\n

Reasoning: Allows eligible voters the opportunity to elect someone to the seat for the remainder<\/span>
\nof the term who they feel best represents their interests without forcing a mid-year election<\/span>
\nwhich could be difficult to organize and detract from the regular election.<\/span><\/p><\/blockquote>\n

Note that this language and reasoning recognizes that each seat has a term<\/u> that survives resignation and election.<\/o:p><\/span><\/p>\n

Two of the seats up for election this year were made available through resignation prior to the end of a term (Craley and Malerich). It appears that Directors Berkenkotter and Hooper will occupy seats with short terms. Please advise which is which and the length of each of those terms.<\/o:p><\/span><\/p>\n
